Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by Rystems ("Rystems," "we," "us," or "our"), a technology company based in Austin, Texas. By purchasing, subscribing to, or otherwise using our services, you ("Client," "you," or "your") agree to be bound by these Terms.

If you do not agree to these Terms, do not use our services. These Terms apply to all clients, visitors, and users of rystems.com.

1. What We Do

Rystems designs, builds, deploys, and manages AI-powered automation systems for small and medium-sized businesses. Our systems include outbound outreach campaigns, AI receptionist agents, reputation management automation, contract and invoicing automation, calendar and booking management, and database reactivation campaigns.

Each system is described in detail on our website and during your onboarding process. We explain precisely what each system does, how it works, what platforms it runs on, and what is and is not included — before any purchase is made.

We are a technology service provider. We are not a marketing agency, advertising platform, staffing firm, or sales representative acting on your behalf. Our systems automate defined tasks using AI and software infrastructure. The commercial outcomes of those tasks — including leads generated, appointments booked, deals closed, or revenue earned — depend on your business, your offer, your market, and many factors entirely outside our control.

2. What We Guarantee

We guarantee that:

• The systems we build will function as described in the service description provided to you before purchase
• We will deploy and configure your system within the timeframe communicated during onboarding
• We will maintain and monitor your systems for the duration of your active subscription
• We will respond to support requests within 2 business days
• We will notify you of any significant outages or disruptions affecting your systems

3. What We Do Not Guarantee

We do not guarantee:

• That contacts in your database or sourced lists are valid, reachable, or interested in your offer
• That AI-generated messages will be received, opened, or acted upon
• That outbound calling will reach live recipients at any specific rate
• That Google reviews generated through our reputation system will improve your search ranking
• That email deliverability will be 100% under all conditions
• Uninterrupted or error-free operation of any third-party platforms (GoHighLevel, Twilio, Vapi, etc.) that our systems depend on
• That automation systems will be compliant with industry-specific regulations in your jurisdiction — it is your responsibility to ensure your use of these systems complies with applicable laws including CAN-SPAM, TCPA, GDPR, and any other regulations relevant to your business

4. Your Responsibilities

• You are responsible for ensuring you have the legal right to contact all individuals in any list you provide to us or that we source on your behalf
• You are responsible for ensuring your offer, business, and communications comply with all applicable laws in your jurisdiction
• You must provide accurate information during onboarding — inaccurate information that affects system configuration is not grounds for a refund
• You are responsible for reviewing and approving any messaging templates, scripts, or sequences before they go live
• You must maintain a functioning business and offer — our systems amplify your sales process, they do not replace it
• You agree not to use our systems to contact individuals who have opted out, to send spam, or to violate any applicable communication laws

5. Payments & Billing

Monthly subscriptions are billed on a recurring basis and begin on the date your system goes live. Subscriptions renew automatically unless cancelled.

One-time campaign fees (e.g., outbound outreach campaigns) are billed upfront before work begins.

Usage-based charges (e.g., outbound calling at $0.15/min) are billed based on actual usage and invoiced monthly. Usage estimates are provided but not guaranteed — actual charges depend on call volume and duration.

All fees are non-refundable once work has commenced, except in cases where Rystems fails to deliver the agreed system in a functioning state. Setup work, configuration, and any work performed prior to cancellation is non-refundable.

6. Cancellation

Monthly subscriptions may be cancelled with 30 days written notice sent to team@rystems.com. You will retain access to your systems for the remainder of your current billing period. After cancellation, systems will be deactivated and you will retain any accounts, logins, or assets that belong to you.

Rystems reserves the right to terminate service with 14 days notice for any reason, including non-payment, violation of these Terms, or if we determine we are unable to effectively serve your business.

7. Limitation of Liability

To the maximum extent permitted by law, Rystems' total liability to you for any claim arising out of or related to these Terms or our services is limited to the amount you paid us in the 3 months preceding the claim.

Rystems is not liable for any indirect, incidental, consequential, punitive, or special damages, including but not limited to lost revenue, lost profits, lost business opportunities, or damage to reputation — even if we have been advised of the possibility of such damages.

We are not liable for disruptions or failures caused by third-party platforms (including GoHighLevel, Twilio, Vapi, Stripe, or others), internet outages, force majeure events, or actions taken by your customers or contacts.

8. Intellectual Property

All systems, workflows, templates, code, and configurations built by Rystems remain the intellectual property of Rystems unless explicitly transferred in writing. You receive a license to use the systems for the duration of your engagement.

You retain ownership of your customer data, contact lists, business information, and any content you provide to us for use in your systems.

9. Confidentiality

Both parties agree to keep confidential any proprietary information shared during the engagement. We will not share your business information, customer data, or system configurations with third parties except as required to deliver your services or comply with legal obligations.

10. Governing Law

These Terms are governed by the laws of the State of Texas, United States. Any disputes arising under these Terms will be resolved in the courts of Travis County, Texas. If any provision of these Terms is found unenforceable, the remaining provisions remain in full effect.

11. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page and notify active clients by email. Continued use of our services after changes are posted constitutes your acceptance of the updated Terms.
